(NewsTraders.com)-- The merger agreement between Mattel (MAT) and The Learning Co. (TLC) may be terminated by either party if the deal has not been completed by September 30, 1999, according to a Form 8-K filed late yesterday with
the SEC.

Learning Co. must pay Mattel a $35 million fee if it terminates the merger under certain circumstances, and up to an additional $75 million if it enters into a merger agreement with another party within twelve months of the deal having been terminated.

Under the terms of the merger pact, each outstanding share of Learning Co. will be exchanged for $33.00 in Mattel common stock.
