A word of caution to ROTIP holders:

This scenario is purely speculative, but entirely feasible:

The holder(s) of Harvest's Series B Preferred shares convert them into ROTIP. At that point, such holders would control a majority of the outstanding ROTIP. It is possible that through direct negotiation with such individuals, the Company could persuade the majority shareholder(s) to vote to cancel their ROTIP dividends in exchange for future (perhaps undisclosed) considerations.

In short, don't count on receiving those dividends that are in arrears! The preliminary proxy that was filed requires the dividends to be paid, but it also requires that the merger be consummated before January 1, 1999, which will obviously not occur. The actual merger proxy may well differ markedly from the preliminary one filed some two months ago.

Of course, it is also entirely possible that the dividends will accrue, and be entirely paid out! Stranger things have happened. :-)

I remain long ROTI, and skeptical about the dividend prospects for ROTIP. As always, I'd appreciate it if someone would correct any errors that may be found in my writings.
