The S3 that was filed does not mean a thing. Just a shotgun registration for future sale.

Well then, I must be misreading it. It appears to me that when those shares are sold, the outstanding shares will then be close to 38 million instead of the current 28. That's some serious dilution for all current shareholders and it's typical of these small companies with nice stories and no revenues to go along with the story.
