It is a NASDAQ listing in sheep's clothing.

Please explain to me how EDII acquiring less than 10% of a company leads EDII to a NASDAQ listing???

If they were going to acquire/merge into HERZ, I wouldn't think that they would do this in 10% increments. Please explain to me what I am missing.

Have you ever heard of a profitable company utilizing a tax loss carryforward?

The problem here is twofold;

1) EDII pays a premium up front for those tax loss carryfowards, as they are an asset to a profitable company.

2) Tax loss carryforwards can only be used by a company with a profit, and purchasing companies with large losses is contrary to this financial strategy.
