Your observations look pretty logical to me.

Lucent has known for quite awhile what the future threats would be to it's old business and I have not been to surprised that it took this long for them to respond.

The problem for LU is to get themselves up to lightspeed to compete in the new world. IMHO I think it will be about a year to two years before we see how well this last acquisition works.

LU has some great pieces but things are spread out with a lot of low margin consumer products that distract from the goals I see as necessary to win.

Fortunately for all of us the demand is growing faster than the ability of the companies to produce. It sure is going to be fun to watch going forward.

This is to be a cash acquition? No manager cares about a non-accretive stock acquisition, it just screws the stockholders -- the more overpriced everyone is the worse. You could hardly find two more overpriced partners that LU and ASCD.
