Jay, there is nothing ominous about this, it looks like a minor amendment to the original S-3 filed in 1997, I believe when they issued the convertible notes (they are amending page 34 and that has been amended from time to time before). It is possible that the holder of some of the notes wants to be able to register the underlying stock. I do not think it is either positive or negative, but what do I know?
