As to issuing the shares...

I am not al that familiar with the rules myself... but, I would think that as long as they do not have to increase the number of authorized shares, the board can use them as they see fit in order to advance the business.

I really hope not! That would complicate things way too much. Digitcom and J. Chin are 2 different legal entities. Digitcom has no right to use Mr. Chin's shares to make a deal unless Mr. Chin gives authorization. Authorization would no come without renumeration. If that were to happen, I would definitely want to know what the terms of that deal might be... how and who would determine the worth of the shares? No... that would be much too compromising a situation to feel any comfort in.

But, I don't think that happened. Hopefully, you don't either. I don't see any need for it since Digitcom still had ~.5M shares they could issue (from their 20M authorization) left.
