TV/Com is the old Oak Communications. They've been in the cable biz for a long time.

Mindport buys TV/Com
- Expands American base -

Hoofddorp, 26 November 1998 - Mindport is
pleased to announce that it has acquired the
American broadcasting technology company
TV/Com International Inc.. The acquisition closed
yesterday when Mindport formally purchased the
company from Hyundai Electronics America.

Based in the Netherlands, Mindport gains a solid
initial base for its various companies from which
they can grow in the Americas and offer
technology solutions to customers and more
localised support to serve their businesses.
Mindport will be introducing itself to TV/Com's
customers in the days ahead.

Graham Kill, CEO of Irdeto Access and Mindport
STB, says: "The opportunity to work with an
existing talented and experienced team to develop
these American-based activities was too good an
opportunity to miss. We have worked with
TV/Com for many years and know the company
quite well, so we were able to work with Hyundai
to conclude the transaction within a short period.

Mindport aquires TV / Com

Mindport, the Dutch based technology company, has acquired TV / Com from Hyundai
Electronics America. Financial terms have not been disclosed, but it is understood that
Hyundai approached Mindport with a view to a sale.

Mindport, whose portfolio includes conditional access supplier Irdeto Access and a 44
per cent holding in OpenTV has worked with TV / Com since it began developing digital
products in 1994. In 1995, when TV / Com was struggling financially under previous
ownership the then Irdeto and Nokia provided a bridging loan before Hyundai purchased
the company.

"We've been eyeing the US market for some time," Irdeto Access and Mindport STB
CEO Graham Kill told Inside Digital. "Our forays have not been yielding the return we
would like, excluding OpenTV, so if we wanted a conduit we needed a permanent base
there." In addition to conditional access, the acquisition also brings with it skills in
network management-based systems - an area in which Kill says he wants to expand -
set-top box software development and intellectual property rights.

It is possible that the TV / Com moniker may disappear, but Kill is looking into the brand
value of the TV / Com name.
