Stock splits (as well as shares issued in mergers and acquisitions) come out of the shares authorized. This number is different than shares outstanding. Most companies have more shares authorized than outstanding to use for the above reasons and also for employee options and purchases. Increases in authorized shares and stock splits have to be approved by shareholders. The two can be done at the same time.

IBM is currently only authorized for about 1.95B (?) shares outstanding, and there are currently about 1.05B +/- shares actually outstanding. To spit at 2:1, would need auth. for about 2.1B + shares. If/when the proposal is announced, needs to be approved by the stockholders at the annual meeting (4/99 or 5/99).
