I'll take a stab at it and the answer is in one sentence.

"The markets believe that Cisco is worth more than LU and ASND together."

I also think Cisco is worth much more than them.

If we can see some real execution in the next few years by LU regarding margins then I might change my mind!

In my view, the trend for future communication networks is towards
an integrated data, voice, and video service. Cisco is much better
position than anyone else. Lu has done a right thing to acquire ASND.
But that is not enough. The LU/ASND combo misses an important piece
that is Layer three router. Nortel/Bay combo seems to have everything
and seems everything they own is not strong. I would think CSCO is
going to benefit the most from this network revolution.

It seems the market also think that way, at least for now.

It's interesting to see CSCO's market cap (162Bil) has exceeded LU and ASND altogether (136+17=153Bil)

...and if CSCO has around 16K employees and LU/SND has about 140K employees, Wall St values CSCO employees at about $10M each and LU/SND at $1M each. Wall St at merger premium is only valuing ASND employees at half the CSCO rate?

Of course this analysis is only interesting if you believe that the employees are the true value of a company.
