No, because it wouldn't protect them very much, if at all. XOMA is still registered with the SEC, subject to the U.S. securities laws, etc., so that any potential lawsuit under those laws is still viable notwithstanding the move of its state of incorporation. There may be something more favorable about Bermuda corporate law that will give the officers/directors a little more protection in some circumstances (I've never read the Bermuda corporations statute), but not against U.S. securities law claims.
