Night Writer...Earnings .43/share....WOW!!! Last years's statement from EP concerning the fact that DEC will be accretive...holds more credibility. Certainly the comparison to last quarter shows us CPQ's direction. It is interesting as we see this CPQ "story" unfold this week. It's as a good book that you can't put down. As to the question of AV spin off and rights and responsibilities of management, directors, shareholders, etc... a good source for law and precedence is.... Corporate Governance, Douglas M. Branson...ISBN 1-55834-072-6 AV issue is probably a sub category of: Usurpation of corporate opportunities ....Not knowing the by laws of CPQ but general procedures it is my opinion that any recourse shareholders would have is in the elections of directors who must represent their fiduciary interests. Since I have no clear understanding of the AV situation and the benefits, I feel it premature to judge at this point.
