I believe the Series D is a Discounted Convertible which was done back in 7/98, BUTthe Series F is NOT a Discounted Convertible Preferred.

If you look closely you will see that the majority of the stock registered for sale is:

> NOT Discounted convertible preferred

> CANNOT be sold prior to late 1999 without Data Race consent, and the remainder can't be sold before 2000

I suspect that it what Marshall was referring to.

That Series D thing applies to less shares than a lot of us already own. :-)
Let that one participant in the offer have a little discount on part of his contribution because if you look they also participated in other shares which aren't discounted.

Also please note the numbers and you'll see that Dominion Capital Fund is a very small part of the entire offering. You must also remember that the market has know about this since the middle of last year so what's the big deal?
