It won't make any difference - you can discuss the financials or the lack of technology - you're talking to a brick wall (hardened RACE longs). But keep trying you may get thru.

Give me a break - I'm about 3/4 and now about 7/8 asleep. I know what it says without even having to look at it again since it was outlined back in July of 1998. There is a small percentage of the offering referred to as the "Series D Preferred" that will be given to the holders at face value but their conversion price is a maximum of $3.00 and that seems fair to me considering the way some of these conversion deals are set up. (see footnote 12) Please read through the entire thing and you'll see that there's all sort of different preferred shares involved. The "Series D" is only a small part of it and if I recall they are the only shares that were allowed a discount if the stock happened to be under a specific price (which is far from applying) and also aren't locked up for most if not all of the year. Please try to explain to me why this is such a big deal. In the meantime I'm going to lay down, watch a little TV and will probably fall asleep so I may not be responding to any replies until the early AM. Print the entire document out and it will make far more sense than trying to read it off freeedgar.
