This merger is a done deal, absent events out of the control of IDX or IDT -- no matter what the speculation is on these boards.

I have looked over the S-4A document, and here are the conditions on the deal that affect the merger:

(1) Majority IDT approval. Done.
(2) If IDT disapproving stockholders are more than 5% of IDT ownership, than at Identix's option only, the deal can be called off. Otherwise, Identix simply cashes out the dissenters instead of giving them shares. No sign to this point of any dissenters or any sign IDX would not cash them out if they appeared. There is no premium to the cash-out.
(3) No material adverse changes to the fortunes of IDX or IDT. So far, so good. This does not include stock price changes, by the way.
(4) Four IDT key officers are to be hired by IDX, get stock options, and sign noncompete agreements. This is a certainty.
(5) IDX gets to escrow at least 434,300 shares to safeguard its interests. Also a certainty.
(6) Fraud in the transaction. Not likely.
(7) SEC approval. As close to a certainty as you can get.

That is it, ladies and gentlemen. Anything beyond these concerns is simple paranoia.

I am sure companies are always seeking to improve their algorithms, but about 2 years ago when we were looking for a cheap alternative to Cogent and seeking some additional afis technology to include in our product, we bought a couple of runtimes of Identicator and did some studies and we found it's matcher (circa 2 years ago) wasn't good enough to include in our product. Incidently we didn't win the contract so we never went farther with the system.

We found Identicator got hits many times on prints that were not matches and on other prints which it should have 'matched' it missed completely. For our usage the error rate was just way too high. Our intended use was to use the Identicator technology on the back of a id card to match a print against our 6.7Million Print DB.

Perhaps they have improved their matcher...

Perhaps Identix knew about this problem and now identicator has fixed it or perhaps identix knows how to fix it.

I hope its not a bad move.
