Sorry, but where does the document say that Piercy gets 1% net if the deal has been rescinded?

If the deal is consummated yes, but if rescinded? Maybe I'm just not pulling up the whole doc.?

Paragraph 29 provides remedies upon breach.

I don't see Piercy getting any payment. The 1% was applicable only during the "licensing period", the time TSIG was licensing the MusicCard during the extended audit.

The audit was unsatisfactory for whatever as yet undisclosed reason. The "license agreement" has been terminated by Piercy's breach, but, TSIG can still enforce other or all parts of the original agreement.

This is just from a quick read, bu I still don't see Piercy receiving any remuneration.
