determination if the announcement dated Feb. 17, 1999 (Stockwatch, Feb. 18)
constitutes a reverse takeover.

Trading should resume shortly

Looks like the VSE is not going to be looking at this deal as an RTO, rather they have deemed the deal an extraordinary
large transaction which would require that a broker sponsor the company. FTL has a sponsorship agreement with Global
which the VSE will review and FTL should be back trading by Wednesday or by the end of the week at the latest. The
private placement was approved and as a matter of fact has been oversubscribed by 300% , looks like there will be quite
a demand for FTL when trading resumes.

Go FTL!!!!
