Solar Communications Group Announces Merger With Thermaltec
International

MILLVILLE, N.J.--(BUSINESS WIRE)--Dec. 14, 1998--Solar Communications Group, Inc. (''Solar Communications'') announced today that it has entered into a Letter of Intent with Thermaltec International Corp. (OTC-BB:THRM - news; ''TTI'') for the merger of Solar Communications with and into TTI. At the effective time of the merger, the shareholders of Solar Communications will receive 67,500,000 shares of the common stock of TTI, representing approximately 96% of the outstanding shares of TTI common stock.

Prior to the merger, TTI will take all necessary steps to transfer all of its assets, ongoing business activities and liabilities to another entity, except for a minimal amount of cash and certain net operating loss tax carryforwards. After the merger, TTI will conduct the business formerly conducted by Solar Communications.

Consummation of the merger is subject to a number of conditions, including without limitation the completion of customary due diligence, the receipt of all necessary government, regulatory, shareholder and third party approvals, and the registration of the shares of TTI common stock to be issued in conjunction with the merger with the SEC and all appropriate state regulatory authorities.

All of the shares of TTI common stock to be issued to the shareholders of Solar Communications in conjunction with the merger will not be subject to any restrictions on resale under the Securities Act of 1933, as amended, other than the restrictions on resale imposed by Rule 145 promulgated thereunder.

Solar Communications was formed in 1996 to provide quality communications alternatives to the business community.
The company, which is privately owned, has developed an Internet access solution, known as PCRoomLink, for the hospitality industry. PCRoomLink's computer-equipped rooms permit a hotel patron, with or without a laptop computer, to obtain high-speed Internet access in the privacy of his/her hotel room. Pilot installations of PCRoomLink are scheduled to begin shortly.

TTI is a metallurgical engineering company specializing in the development of new solutions for the prevention of surface wear on industrial equipment. The advantage of the TTI process lies in the
speed of application and the reduction in the output of hazardous materials. TTI also manages projects by transferring its technology, both locally and globally, from its industrial facility in Costa Rica, where it maintains sophisticated computer programming and statistical capability, for re-export into the United States.

TTI has been instrumental in working with the New York State Department of Transportation and the New York State Energy Research and Development Authority, respectively, to introduce an alternative to traditional painting and epoxies on highway bridges and an alternative to hard chrome plating. The Company has also transferred its technology to the Dominican Republic and Puerto Rico and to approximately 300 industrial customers in Central and South America.

The business presently conducted by TTI, as described herein, will be transferred to another entity prior to the merger of Solar Communications into TTI. Following the merger, TTI will conduct the
business presently being conducted by Solar Communications.
