Thank you for the disclosure. I will wait for the financials to determine if the preferred shares are convertable, and at what ratio.

You have been upfront with the shareholders in the past and I appreciate the information you have provided today.

I also understand these are best estimates and may be subject to minor changes as the 1998 financials are compiled.

Michael, as long as we're clearing up old questions....Please can you give us an update on the month-old statement below:

..."Cabec's attorneys have informed management that the stock certificates necessary for the distribution to stockholders will be printed and in the hands of Cabec's transfer agent, Continental Stock Transfer & Trust Company, by January 28, 1999.".....

I don't understand how a statement issued on Feb 5 can reference a future event to occur on a date (Jan 28) that has already passed?

Does Cabec's (not Union Group) transfer agent have our shares by now or not? When will we get them??

Mr. John,

There seems to be a great deal of concern on this board regarding the status of the Union Group shares. Perhaps you could shed some light on this matter.

1. At this point in time who is responsible for issuing the UG shares?

2. If the responsibility is that of Cabec/PPP, what is causing the delay?

3. If the responsibility is that of Cabec/PPP, when do you anticipate that the shares will be issued?

Thank you in advance for any information that you can provide. In addition, I, for one, appreciate all of the past posts that you have made.
