Ill take a Mighty stab at these:

1) Why is there a ten point spread between LU and ASND ?

That question has been asked a hundred times. No real answers but Ill tell you this. ASND stock has a history of wild stock swings for seemingly no reason. The end of '97 was a VERY bitter time for ASND faithfuls. We got burned excessively and some will not forget. Ill never forget some of the EXTREMELY bitter remarks made by some analysts. I do not recall remarks of this nature in my 20 years of active trading. My point being that there is still some doubt in ASND, albeit growing smaller every day, especially when marrying somebody of the likes of LU. Doubt from history, doubt from market capitalization higher than COMS (whose gross sales blow away ASND's), and, above all, the big gorilla CSCO, breathing it's fiery breath down our backs, waiting for one slip up and LU drops us and CSCO eats our lunch. I have bet my life this will not be the case but stranger things have happened (remember Newtie?). IMHO, I see absolutely no reason not to pick up a little ASND. Also, the merger is not to close until LU's third quarter ending June 30. That is a lot of time to close this gap and the merger most likely will be either in May or early June before the usual tech summer selloff.

2) Is there a penalty if LU was to back out of the deal ?

I do not know about this but I would guess there would be a penalty if ASND was to back out for no good reason, not LU. Like I say, there is a better chance of being struck by lightning than ASND screwing this up!
