Well, I have been reliably informed that there is at least one other offer now on the table. I also know there is no chance of the board accepting anything without a 2 as the first digit. I think Philips knows this. JB

Hi BWAC, As "preliminary" as the talks were last year with LSI, it's hard to believe that the $28 would have held up through the Fall as both companies' stock prices collapsed. Also unknown is whether the speculated $28 was to be cash or stock or some combination. Cash has a different value than Stock.

I don't think we can go by what was rumored for last summer's buy-out to judge what this spring's buy-out should be. I'll be content to own VLSI for several more years if the deal flops or take the cash (and pay Uncle Sam) if the deal goes through. If it does go through, it's a tax burden that I hadn't planned for this year. That I don't like. It looks like Philips' stock is currently trading for peanuts on a "valuation" basis, which would go quite a way to explain why they are offering cash. No use giving up cheap stock.
