Is there a networking company that you think is not overvalued? Market is getting ready to go boom boom (IMO), I'm guessing that everybody gets their knuckles whacked. CSCO, LU, ALA, NT, FORE...everybody. Do you think differently?

Alcatel bids $37/share for Xylan

PARIS, March 2 (Reuters) - French telecommunications firm
Alcatel said on Tuesday it had entered into a definitive deal to buy
network switch maker Xylan Corp for $37 per share or about
$2.0 billion.

Alcatel said it would make a cash tender offer for all outstanding shares in Xylan that would start on
Monday, March 8 and run for 20 business days.

It said its offer had the unanimous approval of the boards of Alcatel and Xylan.

''To extend its technology lead in the fast growing market for voice and data networks, Alcatel
(NYSE:ALA - news) today announced it has entered a definitive agreement to acquire Xylan Corp
for $37 a share,'' Alcatel said in a statement issued in Paris. ''The transaction is valued at
approximately $2.0 billion.''

It said completion of the deal was subject to 90 percent of the shares being tendered and application
of anti-trust laws. All shares not bought in the tender offer would be acquired by merger for cash at
the same price per share, Alcatel said.

It said the deal was expected to be completed early in April and that Xylan's board was
recommending that its shareholders accept the offer.

Alcatel has been a key customer of Xylan's and accounts for a significant protion of the Calabasas,
Calif.-based company's business. Xylan has been trying to make progress selling more complex gear
to telephone companies.

There may be a discount built in here since it mentions that ALA accounts for a significant amount of Xylan's business.

Xyln sold for a song and this is supposed to be an indicator of market sentiment? I don't follow. Also, XYLN does $400M in "scraps"..the leavings that Cisco doesn't get. This is a quote from a friend that left XYLN because he was frustrated that XYLN couldn't win real business from CSCO. Let's see, do you really think that $400M in annual revenue's hurts CSCO now? Even if they grow this at a 50% rate the impact will be insignificant...this of course assumes that a French company can run a dynamic SO. CAl company.

Bottom line. The founders want out and this was a way to cash in. ALA will not execute.. JMO.

The only thing that's ridiculous is you and your idiotic postings. Nearly everybody on SI knows that you dislike Cisco. There's no point in continuing to repost the same unsubstantiated opinions over and over. It's not bad enough that we have to read your crap all over the Cisco thread, but now you're posting it in other places as well. If you think Cisco is a terrible investment then simply go short sell it or buy puts, but don't continue to waste our time with your babble.
