As I said, I'm willing to let the reverse merger slide for the moment.

However, a reverse merger requires some level of sophistication with incorporating, and Gayle, touted as a business man has certainly achieved that level.

Now consider Microphonics was in the black last year (1998) and selling for 3 cents a share. Why didn't Jimmy comply with SEC rules and file financial reports. He's one of the few who knew where his company was on orders and could of had MRPS ready to run on their announcement.

Generally, small companies do not file because they do not have the funds to do so. Or the CEO is a scientist and doesn't have the business savvy to know the game. But neither of these reasons apply to Microphonics. As such, Gayle missed the boat by not filing in a timely fashion and his stock (and company) is suffering as a result' eg, having to pay that PR firm so much in stock.

Also, the news on the prior PR firm is not comforting, ie., sitting on 1.6 million shares for services rendered. This calls into question the validity of the reports we have been getting and now the company is splitting hairs about the meaning of their announced contracts; ie., open order vs a firm contract. See what I mean.

I have not given up on Microphonics but these are concerns that I want to see Microphonics address in order to keep my interest in the company.

As such, the white paper coming out Friday, I want to see it address the history of the company and what their technology is about. I do not want to see it try to substitute for a 10K or 10Q.
