dexx, I called the man this afternoon to find out what they are looking for. They want to "reverse merge" with a company having at least $25 MM in sales give them the two millions so the stock holders of PCES end up with a minority of the company they merge in. Since no one knows what the preferred investors have the "book value" of $.37 may be quite doubtful. It looks like a smoke and mirror to me. Zeev
