Rajiv, Nice work on determining the number of outstanding shares of SEVL. However, I believe you undercounted the base number of shares by about 1.2 million.

In the 8-K filed 2/25, section 3.02 of Exhibit 2.1 warranties that 24.9 million shares are outstanding rather than the 23.7 million figure you used (which I believe you had from 12/31/98).

This would bring the total # of shares outstanding to 37 million.

I noticed that SEVL dismissed KPMG as its principal accountant back in January.

Interesting that there was no press release about that. Any idea why the change of auditors was done?

KPMG included a "going concern" clause last year to qualify its opinion on the financial statements. KPMG has been replaced by Arthur Anderson.
