I do believe a company can put any length of restriction on a stock that they choose. And its is legal. I believe the SEC ruling has to do with Reg. S shares. which is not what I'm talking about. And I believe the 1yr restriction on Reg S shares has been in effectfor over a year now. It has never been a 2 year restriction on them. In fact there was never any restriction on Reg. S shares up until about a year ago.
The ruling you are talking about is a minium amount of time.
