is an agreement for one company to acquire another company (pretty self explanatory). It is the first step of the process, all the contractual terms are than worked out by legal counsel (Mr. Casale for PLFM (a indpendent lawyer working on behalf of plfm, not to be confused with an employee), obviously a rather laborious and deliberate process as each side seeks the best deal. The original deal was $400,000 in cash and 2 million in the stock of Flight Dynamics, to this point I do not believe the core agreement has changed, though this information is obviously not privy to shareholders until contract finalization (the last step to the takeover process). Your confusing an acquistion agreement with a contract finalization, there is a lot of work in between these stages. Here is the other key point to your inquiry, the Flight Dynamics actual IPO is not complete yet so the 2 million in stock cannot be transferred to complete the composites unlimited takeover. Now, why is the Flight Dynamics IPO not done yet when all the details have been hashed out with this stage? Because the Flight Dynamics IPO is contingent on the valuation of the TU-160's by PLFMs SEC Regulatory counsel (Farbar & Haas CPA's) and subsequently for reporting purposes to meet AICPA standards by our CFO Barry Bernstein (ex. Sr Partner of Bernstein, Samuels Co.). The key here is that we are receiving the slips for the Russian assets now and the valuation can begin immediately- all the other dominos are in place.
And this is just one small piece of the picture that PLFM is working on. This is not a mom & pop candy store operation, hopefully I was able to paint a bigger and more realistic picture for you. Is this still risky, you bet......does it have the potential to reap huge rewards- just wait and see, finalize one or two of these contigencies and watch how fast everything else starts falling in place. Each of these events PLFM is working on does not exist in a vacuum, every one effects the progress of all the others. Have a good day.
