STM,

I have a scenario for you. WHAT IF:

MVEE has an agent in place currently buying back the company's stock. Our seller is Alexander/Westcott liquidating their position per an SEC mandate. The company is not required to disclose this activity because there is no rule governing this practice in Canada. MVEE is buying the stock back because the SEC filing is on the doorstep and G&G and Benz will not own a controlling interest with the current outstanding of 97 Mil with 85 Mil in the float (ie. not held by insiders). My discussions with Cantwell have indicated that no further dilution of the stock is planned (naive assumption, but what the h...). G&G each own 10 Mil in options (fact) and Benz owns 3 Mil in options (fact). 10 Mill. shares are restricted (fact). This puts the fully diluted outstanding at 130 million shares. G&G plus Benz would have a 35% interest at max. This percentage is based on the assumption that G&G + Benz own the 12 million share differential between 85 float and 97 o/s, 23 million share options and have the 10 million PP under their thumb. That equals 45 millions shares (45/130 = 35%). Filing with the SEC will require a finite authorized share amount. Thus, to maintain a controlling interest G&G and Benz must own more stock or further dilute the outstanding shares.

My point: We have a seller with a massive position. Selling continues into the buying regardless of pending news. The economic decision to sell this stock seems to be to wait until the sale of SJ is announced. This is not happening. The selling continues. And quite frankly, I just needed a positive spin on all of this.

THIS IS PURELY SPECULATIVE. I HAVE NO INFORMATION TO LEAD ME TO BELIEVE THAT THIS IS THE CASE.
