Chuca,
active companies do have problems cleaning up. That is why a shell is usually a company that hasn't been in operation for an extended period. That makes it easier to clean up and utilize the shell.

fwiw here is the definition of a Shell Company from the Bloomberg financial dictionary (added emphasis mine)

Shell Company. An issuing company that has no assets and no operations. While the company is not necessarily a cover for fraud, its securities are high risk.
