SUNNYVALE, Calif.--(BUSINESS WIRE)--March 17, 1999--Harmonic Lightwaves, Inc. (Nasdaq National Market: HLIT) today announced that it has filed a registration statement with the Securities and Exchange Commission relating to a public offering of 2,800,000 shares of common stock. Of these 2,800,000 shares, 2,000,000 shares will be offered by the Company and 800,000 shares will be offered by certain selling stockholders, including 720,000 shares to be offered by Scientific-Atlanta, Inc. pursuant to the exercise of a warrant. The Company will grant the underwriters a 30-day option to purchase up to an additional 420,000 shares of its common stock for the purpose of covering over-allotments. Warburg Dillon Read LLC, CIBC World Markets, SG Cowen and SoundView Technology Group are the underwriters of this offering.
The Company intends to use net proceeds for general corporate purposes, including working capital and capital expenditures, and for the repayment of debt.
