We all may be correct. I agree that some division of ownership must occur for CPU to be in a position to offer no state sales tax for sales made by CPU Direct for people ordering from out of the state in which CPU Direct is based. There must be someone here at SI who is better versed in tax law. Hopefully they can contribute something to this discussion.

The method that the spin will occur is not defined at this time, at least to my knowledge. Either an IPO with CPU retaining a percentage of the new company, thus giving current shareholders an asset for the CPU books, or a direct spin with shares of CPU Direct going to the current CPU holders of a certain date of record. Again, someone here at SI with more knowledge of this could clarify.
