The Company doesnt have to disclose a thing as long as the Company is a Non Reporting Company , a reporting Company must disclose on a "timely" basis both to the Regulatory Bodies and the Shareholders every time there is a Material change in the Corporate affairs of said reporting Company I/E issuing new Shares, Audited financial statements , Quarterly financial reports ("unaudited") etc. etc. Timely basis usually means "NOW". "BULLY"
