In way of disclaimer, I tend to vote against most 'management' propositions - I think they vote themselves too many perks as it is. Anyone want to try to defend a 50% pay raise after Loral's stock performance last year?

Let their pay be tied to stock performance but it needs to work both ways - give 'em a raise if the stock does well, but take the money away if the stock tanks. (Like that would ever happen! Positive price movement is always directly related to the visionary leadership of the corporate heads, but stock price reductions are always 'beyond our control' - nothing like standing up for your actions!)

As a partial example of the way things should work:

Boeing top guys declined to take any bonuses this year as a result of last years big stock losses.

They got a bunch of heat last year for taking the bonuses after a lukewarm year. That is nice in and of itself, just irks me that they even were eligible for a bonus.

Oh well one paradigm shift at a time....
