By removing the net2phone and ISP from the core business, IDTC will generate an additional 8-10 cents per quarter in earnings and their gross margins will improve. Soo, under either scenario, it is a win for the telecon side of the business. A private placement would cause IDTC stock to go relative to whatever purchase price was received. As the book value and assets of the company would reflect this. AnIPo is the most profitable alternative for shareholders because of the valuations currently given to internet stocks. The IPO could easily be worth 2-3 times the market cap of the current company. Therefore if shareholders receive say 1 share of the IPO for each 3 shares of IDTC currently owned and that stock rockets up on the IPO, we receive that benefit.

Caution though that nobody knows the exact terms of what will be offered yet, but suffice it to say, with Howard Jonas owning over 12M shares of IDTC, he is not going to make a bad deal for himself, or for us.

BTW, Matt Regas is working on a piece for the Friday cyberstock report of ragingbull.com, which will be much more in depth than the CBS piece. Matt is a brilliant writer, VERY familiar with internet offerings and I think his price evaluations and thoughts on the corporate investors, will be compelling. I know he was calling around today doing his due diligence, soo, I'll be looking for that piece.
