Dale - a stock split here?

The body of the 14A states that, at the stockholders meeting in May, one of the agenda items will be to:

"2. To approve an amendment to the Company's Restated Certificate of
Incorporation, as amended, increasing from 80,000,000 to 140,000,000 the number of authorized shares of Common Stock."

Is this a split, or an issuance of shares for private placement? Somebody have some ideas here?
