You are giving a lot of credit to Phillips. Remember they are an European firm and thus are probably not too used to takeovers, let alone hostile ones. What if they actually think they can do this at $17 and are not willing to pay for more? I remember reading here once that their company/management is not really highly regarded by the investment community, like an STM for example.

Dragging this thing out is not to their advantage. By delaying this to 4/16 with no higher offer, it's a strange way to play the hand. Do they think they can now turn this 'hostile' into a friendly one by going back and re-negotiating with BOD/Steinman? Another month after that and Q2 will be over and the stock will probably be $17 anyway and they will probably just walk away with a sizable gain on selling their $10 stocks at $17.
