It is my understanding, as confirmed by a couple of articles that I read recently - I'll try to find them if you like, although I hope that some one on this thread will be able to provide the necessary references - that the Stock Options ARE directly tied to a performance metric - ROIC of individual units. This is the goal that the company is geared towards achieving. As far as - "A grant given to an employee for performance years ago which is now worth millions is an incentive to slow down and "smell the flowers", not an incentive to drive company performance" - well Sir, you are certainly correct that after one has gained a certain amount of income, it MAY result in a slow down in their performance. However, the incentives of more options, or shares, or salary etc., is supposed to keep them motivated. Whether it does so is certainly subject to interpretation - this is not an exact science after all - some people will and some won't. The effectiveness of the management lies, in part, in providing ample motivation to the rest of the work force. It is certainly possible that they are doing a poor job. I tend to believe that Dell may be, perhaps, a bit better at motivating its employees than an average company. Meredith did not receive an award based on his performance measurement but rather due to his assessing others performance through performance measurement... if you see what I mean.

As far as whether these plans should be hidden from the shareholders or not - the information, at least about Dell, from what I believe, is freely accessible...

Whether this is a full disclosure, I have no idea about. And certainly, you are probably right that this is hidden from the shareholders in industry in general - a subject that I, for one, am not qualified to respond to....<G>.

The question is not whether the money is deserved, but whether these plans should be hidden from the shareholders, not only at DELL but in the industry in general.

This I wholeheartedly agree with.
