Status: Audited Financials will be posted on our corporate web site as soon as we receive them, which our auditors assure us will be by the end of this week. Note that as a non-reporting company, there is currently no requirement for us to publish our audited financials. Publishing them is a voluntary action on our part. Our financials were last audited in June of 1998, and they were posted on our corporate web site at that time. After the audit is completed, we will begin the process of becoming a Fully Reporting Company under SEC guidelines. This process should be completed long before the required time frame for our company with respect to recent changes in SEC regulations requiring all OTC:BB companies to be Fully Reporting. In September of 1998, Planet City entered into a pre-distribution partnership with one of Denver's leading distributors of technology solutions, Pacific Dynamics Corp. See planetcity.com . The partnership included an initial 50,000 unit sales agreement. At that time, Pacific Dynamics purchased and paid for approximately 100 units of the Millennium Bug Compliance Kit (MBCK). The remaining terms of that contract are unfulfilled. We are contemplating legal action, and therefore I can say no more currently regarding that situation. In October of 1998, Planet City entered into a strategic marketing agreement with Montgomery Zukerman Davis, Inc. (MZD): See: planetcity.com . Planet City terminated the agreement in January of 1999 due to a perceived mismatch between expected performance and the actual benefits received from the agreement. MZD had subcontracted the Public Relations to S&S Communications. We were pleased with S&S' involvement, and are considering a longer term relationship with them, particularly with respect to our financial PR. I am personally researching this situation, and will post any developments as they occur. Regarding Wall Street Research Group (WSRG): We currently have a 6 month advisory agreement with them. At the end of that 6 month period, future involvement will be considered, and any decision to continue the association will be based on value perceived to that date. I am personally following up on other questions brought up by members of this board and other forums. They include the AOL-Canada agreement, and the WebChoice agreement, among others. I will provide a status update on those as I gain comprehension of the issues surrounding them. I am also putting together a master plan that will provide the organizational structure required to meet our current marketing/sales plans for the MBCK and eCommKit, as well as the ability to handle additional activities yet to be announced. These plans include short term activities to take us through the transitional growth stage we are currently in, and long term plans to tackle the post-Year2000 challenges that await us. Planet City's executive officers have been supportive of my efforts thus far, and the employees have expressed confidence in our ability to proceed from where we are. This is truly a team effort, and I'm happy to be involved in it. Regards, TED Terry E. Dennis, CEO Planet City Software, Inc. (OTC BB: PINC)
