B: NOVEMBER LAZAR SCHER, INC. WILL MARKET

Perceptronics' IC3D to Entertainment Industry

WOODLAND HILLS, Calif., April 7 /PRNewswire/ -- Perceptronics, Inc.
(OTC Bulletin Board: PCTR) announced today that it has entered into a
marketing agreement with November Lazar Scher, Inc. (NLS) a prominent
Hollywood promotion and licensing firm. Under the agreement, NLS will
market Perceptronics' IC3D(TM) products and services for Internet
Collaborative 3D to the entertainment industry including online gaming
and related e-commerce industries. The objectives include developing
immediate revenue generating opportunities for the current
IC3D/InterGame Technology in Hollywood and other entertainment markets
and establishing contacts and alliances with major entertainment
companies.

November Lazar Scher, Inc. has been providing innovative and
comprehensive marketing services to the entertainment and product
licensing industries since 1989, and has worked on dozens of major
Hollywood Projects, including "Star Trek," "Jurassic Park," "The Lion
King," "Terminator 2," and "Ace Ventura Pet Detective." The firm's
principals -- Mark November, Craig Lazar and Gene Scher -- are familiar
with the present and future needs of the various entertainment markets,
and have close working relationships with many of the people
responsible for meeting these needs at major studios and other
entertainment organizations. NLS is highly enthusiastic about the
market potential of Perceptronics' IC3D Technology.

"The tools for Collaborative 3D that Perceptronics has developed will
provide Hollywood with new and exciting ways to create Internet-based
consumer experiences," said Mark November, partner in NLS. "Internet
online sports, movie promotion sites and music sites can be enhanced
significantly by the use of IC3D Collaborative 3D tools -- and such
enhancement will provide real competitive and business advantages to
early adopters. Hollywood film producers are now spending up to tens
of millions of dollars per movie on promotion, including novel Web
sites. We plan to convince them to spend good portions of this with
Perceptronics. In addition, the opportunities for the IC3D tools in
the online gaming and e-commerce worlds are unbelievable."

"Perceptronics' IC3D software capabilities also provide compelling
programming options for television producers with an eye on the future.
IC3D can help transform today's television programming into the fully
immersive and interactive programming envisioned for tomorrow," added
Mr. November.

Dr. Gershon Weltman Perceptronics' chairman and chief executive
officer, said, "The non-exclusive agreement with November Lazar Scher
gives a terrific start to our IC3D/InterGame marketing strategy. From
the beginning of our Collaborative 3D project we have seen the
approximately $18 billion market for interactive digital entertainment
as a prime target, because the IC3D/InterGame Technology is so well
suited to entertainment needs, and entertainment companies, are
accustomed to early adoption of innovative new approaches."

Perceptronics is located in the Hollywood area, which is not only the
world's center for entertainment, but also a major center for Internet
business -- including online gaming and e-commerce. Our geographical
and technical advantages, combined with NLS' Hollywood knowledge and
clout, should allow us to make important business contacts and identify
near term revenue producing opportunities.

"We are very pleased that our rapid progress on the IC3D/InterGame
Technology has allowed us to start significant marketing efforts so
soon," continued Dr. Weltman. "The SBIR Phase II development contract
started only nine and a half months ago, in June 1998. By October 1998
we were able to transfer the initial InterGame Technology to the
leading 3D Web site developer -- Shout Interactive of San Francisco.
In November 1998 Perceptronics and Shout successfully demonstrated The
Head of the River Challenge (HOTRC), a fully-collaborative,
multi-person online 3D Web rowing simulation, using a local area
networked configuration. In February 1999 we hosted a single- station
version of HOTRC on our new IC3D Web Site and showed it at the VRML99
Conference in Germany. And in March 1999 we successfully demonstrated
the IC3D/InterGame Platform running HOTRC in a fully Internet-connected
mode."

Dr. Weltman concluded, "This rapid progress is due in large part to the
technical talent of our development team, but it is also made possible
because the IC3D/InterGame architecture originates in a set of
well-established, science-based Department of Defense protocols for
high-speed communication in networked virtual simulation. To this firm
foundation the Perceptronics team is adding modern Internet open
standards such as Java, VRML and browser access. We believe that this
powerful combination will allow us to perform successfully on any new
opportunities generated by NLS and also will give us significant
long-term advantages over competing multi-person online platforms."

Perceptronics performs research and development and manufactures and
markets computer-based simulation systems for military and commercial
training and decision support. Information about the Company is found
