John -
She_x (from the Yahoo thread), who usually has good insights into the comings and goings at CPQ, seemed to indicate that this was a "command performance" driven by the board. Left to their own devices I suspect that EP and EM would just have waited for the earnings announcement. According to her, they got called in on the carpet on friday morning - just EP and EM, no one else was allowed in - and spent several hours behind closed doors with the BOD.

John:
Either way, if EP and Mason knew about it before Friday, and did not tell (waiting a few days) for whatever reason, I believe that would be against SEC rules (no?) concerning timeliness.

The reason is that EP wanted to drag Dell to the mud. He waited until Dell conference with analysts was over, so that Michael Dell could not rebut EP statament about "lower-than-expected market demand". It is common knowledge that EP dislikes Michael Dell. I have never seen a face with more hate and anger than that of EP. CPQ Board of Directors should find a new captain, none too soon.

Compaq could have made an announcement earlier without breaking any SEC regulations according to what I was told by someone at CPQ's IR when I questioned them about quiet period restrictions a few weeks ago.

I sure do hope CPQ makes some "'warm/fuzzy' comments about the future of enterprise/Alta Vista on Monday." Quite frankly, the only trump card I see holding right now is Alta Vista itself and CPQs plans regarding the IPO. Another, "We are buying," announcement to beef-up AV? No good right now.
