I believe that the Swiss already had a large position in JMAR prior to the purchase of those restricted shares. I think your scenario may have been what they did do...i.e. cover their short position with the formerly restricted shares in a way which does not involve using the restricted shares directly.

It is possible that since they are Swiss, they can get away with flouting the SEC rule. How is the SEC going to go after a foreign firm?
