Primarily because it was not declared effective soon enough by the SEC. It then had to be printed up and mailed to stockholders of record who are primarily brokerage houses who must then turnaround and send it to the actual stockholders. One of the problems here is that many individual shareholders will not respond at all and many of those who do will not get their proxy in on time. While I am not too concerned with 3dfx reaching a quorum, the fact that STB needs 2/3 is making me nervous due to the time crunch. Obewon
