If you would actually do some DD sometime, instead of believing every PR you see, you might avoid buying fewer scam stocks.

The short answer: you cannot use "pooling of interests" to avoid amortization while at the same time avoid taking the charge for the acquisition. You (and KWIN) appear to be arguing that the acquisition was free, that the stock was worthless (well, I might agree with that) and that they never have to account for the deal.

Your profile is right. You do have an awful lot to learn.
