One of the director on the board for OTEX, is Sadler, of the GEAC fame. He built up GEAC by paying very low dollar for companies that had good revenue/maintenance stream and milking it for all it's worth. The thing is, he was managed to do this with companies that were private in a lot of cases.

So here they are trying to do the low balling part. The fact that it is cash + more or less where the company is trading means it is a non-starter, unless they expect a bidding war and they will have to bump up the price. I don't see HUMC backing away at this price. I don't see institutions tendering to OTEX at this price either.

If the bids do not improve from here, my vote will go to HUMC where I can see fair amount of upside where as OTEX had insulted the share holders two times.
