Golden Fortune Information, Approvals, Timing At this juncture Golden Fortune has a Letter of Intent for a joint venture agreement with the aforementioned Company. The objective which is to source telephony intellectual property from outside Mainland China, the agreement is a joint venture between the two Companies and covers a broad spectrum to include hardware, software, and conceptual information technology abstracts. To this end, Golden Fortune has identified the necessary hardware to assist consumers wishing to connect online to circumvent traditional routes. The hardware testing will begin Monday, April 12, 1999 in the People's Republic of China and will require between 60 to 90 days to completion. Effectively what is required is the equivalent of an Underwriter's Laboratory Approval, an Industry Canada Radio Equipment Certificate Approval, or a Federal Communications Commission Grant of Equipment Authorization being met. The equipment being certified requires a certain bandwidth frequency to operate on. NOCEF, currently has two different frequency licenses in place for their role as a manufacturer of wireless communication system, which includes Motorola (China) products to the Chinese Railway Bureau. The Nanjing Orient Communications Equipment Factory has a proven track record with the certification process in China. I note the references to software and technology abstracts etc are references to the JV between Golden Fortune and Nanjing Orient Communications , the references to the hardware are references to the WaveRider hardware which they will be using. It looks as though Nanjing Orient will be handling the application process for the regulatory approvals for the hardware which is great as they have experience in this process. Im not positive but one would assume that the regulatory approvals that are received here would basically cover all other sales to other possible VAR's as well. I.E. Nanjing will be getting our approvals for us. This is an exciting step and because China is so huge possible other VAR agreements could be as lucurative. One question I would like to know is if there is any "exclusive" or "regional" exclusive built into this agreement. Is Golden Fortune going to seek other China Companies to work with outside of the Nanjing Company and what Geographic area does the Golden Fortune VAR agreement cover and is it exclusive in that area. Additionally, could one expect to see more then one VAR in China, I'd hope so, but this is an awesome sight. Im anxious to hear on estimates for the upcoming LMS family of products. Chip
