"Broadcom is leading the cable modem chip market, although Conexant and Libit should be able to secure themselves as second-source vendors." IDC expects the strongest G.Lite modem chip vendors will be those who lead the V.90 modem chip market, including Conexant, Lucent Technologies, Texas Instruments, and Analog Devices, because of their ability to leverage an existing customer base.

High Speed Access sets IPO at 13 mln

WASHINGTON, May 5 (Reuters) - Internet access provider
High Speed Access Corp. has raised the expected value of its
planned initial public offering by at least 20 percent, according to
papers filed on Wednesday with federal securities regulators.

In an amended IPO filed with the Securities and Exchange Commission, the Denver, Co.,-based
company said it will offer up to 13 million common shares at an estimated initial price ranging from
$11 to $13 per share, giving the deal a value of between $143 million and $169 million.

When it first filed its IPO plan in March, High Speed Access pegged the value of the offering at
about $120 million, although its preliminary filing disclosed neither the number of shares it planned to
sell nor the expected price.

High Speed Access, which provides high-speed Internet connections, said it has granted the
offering's underwriters a 30-day over-allotment to purchase up to 1.95 million common additional
shares. The offering will be made through Lehman Brothers, J.P Morgan & Co., Nationsbanc
Montgomery Securities LLC and CIBC Markets.

In addition to the shares offered, Cisco Systems Inc. (CSCO - news) has agreed to purchase $7.5
million of the common stock, Com21 Inc. (CMTO - news) has agreed to purchase $1 million of the
common stock and Microsoft Corp. (MSFT - news) has agreed to purchase $10 million of the
common stock, in a concurrent offering, the company said.

Vulcan Ventures Inc., an affiliate of Microsoft co-founder Paul Allen, beneficially owns 54.2 percent
of the common stock before the offering.


Vulcan also owns Charter Communications Inc., one of the ten largest largest cable system
operators in the country. Charter has agreed to provide High Speed Access with exclusive access to
at least 750,000 homes passed by cable, and Vulcan has an equity incentive to cause Charter to
provide the company up to an additional five million homes, the filing said.

After the offering, the company's outstanding common stock will total 14,657,706 shares.

Net proceeds will be used to fund operating losses and capital expenditures incurred in the
deployment of its services, and for working capital and other general corporate purposes, it said.

Interesting that the cable modem stocks(Tern CMTO) were boosted more by the cable telco mergers than the set top companies. If CUBE could partner with Libit the market would really GET the message and the appreciation in stock would pay for the cost of the deal in a day or two. Hope that the seeds have been planted.

Cable Modem with Dual Application of Internet Access and VoIP Provides
Cable Operators with Preview of Coming Revenue Opportunities

ANAHEIM, CA-December 2, 1998-Attendees at the Western Cable Show will be
able to sample the future by placing phone calls using voice over IP (VoIP) technology
at the Libit exhibit in CableNET '98. Libit, a leading provider of silicon solutions for
digital cable applications, will by demonstrating its latest cable modem reference design
which has the capability of simultaneously transmitting VoIP as well as data. These
applications are viewed by the industry as significant revenue opportunities for cable
operators in coming years.

"Libit is pleased to be participating in CableNET '98 where CableLabs has assembled
another impressive collection of leading edge technologies," said Jacob Tanz, vice
president of North America sales and marketing. "Our contribution to this year's exhibit
is to show how a cable modem can support multiple applications, especially voice over

The Libit demo will be performed using the LBT400E DOCSIS cable modem
reference design. This cable modem configuration fully supports all of the DOCSIS
specified requirements for broadband communication along with telephony interface,
allowing simultaneous data and voice communication. A 10BaseT port provides the
interface for the customer PC while an RJ11 connector establishes the connection to
standard telephones.

The telephony circuitry in the LBT400E includes a Subscriber Line Interface Card
(SLIC) which provides the DC powering, ringing and supervising function for the
telephone. A CODEC converts the analog transmission to digital. The circuit also
includes far-end echo suppression, touch-tone signal decoding, and loop voltage supply.
The LBT400E incorporates Libit's high-performance, low-cost RF design; the LBT
4030 DOCSIS CM integrated transceiver; the LBT4230 DOCSIS MAC IC; and an
embedded CPU. Libit's cable modem technology has been tested for interoperability at
CableLabs, and has successfully interoperated with Cable Modem Termination Systems

CUBE would get to work very hard to get all this added onto one piece of silicon, DIVI would get to add all these features into set tops.
Both division would benefit as compared to another cable modem company , say like TERN, CMTO, which have no silicon of their own. Bold, aggressive, fits ABs set top vision?

Some wind would get sucked right out of BRCMs sails and into CUBE's.
Any thoughts out there?

The risk-That they fail to get it all integrated.

Lucent agrees to buy cable Net chipmaker

HERZLIA, Israel--Lucent Technologies has agreed to buy Israel's Libit Signal Processing, a maker of chips that enable Internet access through cable television, for $250 million, according to a Libit shareholder.

Three U.S. companies bid for the privately held Libit, said Ze'ev Holtzman, chief executive officer of Giza Investments, a Tel Aviv investment firm that holds 7 percent of Libit. Herzlia-based Libit and New Jersey-based Lucent, the largest maker of telecommunications equipment, "have an understanding," he said.

it will add to Lucent's investments in Israeli technology and enable Libit to expand. Last year, Lucent bought Ra'anana-based WaveAccess for $56 million, giving it a technology for sending data on wireless networks. It also bought Tel Aviv-based Lannet, a maker of switches for routing voice and data traffic, for $117 million.

"The three U.S. companies bidding for the company all gave almost identical proposals," Holtzman said. Libit "decided on the best potential match from a strategic point of view."

Libit declined to comment regarding negotiations. "The company still hasn't been bought," said Sharona Tadmor, an assistant to Libit's president and chief executive, Ehud Weinstein.

Chipmaking giant Intel holds 5 percent of Libit, founded in 1994 by scientists and engineers, and General Electric Co.'s GE Capital unit holds 3 percent, Holtzman said.

It would be nice if they would evade capture by the Big guys for awhile.
