I know I am beating a dead horse but I am disturbed that the CEO of net2phone who was hired in 1997 as a "full time employee of IDTC" suddenly owns 8% of the shares of net2phone. Is this an award that the shareholders of IDTC voted for? Could someone tell me how this came about? Am I the only one disturbed by this? My reckoning says $80MM for working 2 years is some annual salary. No wonder Mr. Sobol, former finance chairman of the republican party of New Jersey agreed to come work for the company. Jonas - next time hire a democrat. they're cheaper!

Blankmind certainly an IRS attorney can answer this question better than I : but I recall that the IRS has certain guidelines such as the spin-off had to have been in existance in its present structure and present ownership for a certain period of time to qualify for tax-free distribution to shareholders. Perhaps others know the specific minimum time to qualify?
