Cap, do JJ's many assurances, reassurances and other positive pronouncements rise to the level of "conspiracy to commit fraud?"
If so, their D&O coverage would not respond. The cost of defense
would be his.
Would this motivate him to revise the deal? What happened to
the SEC, the defender of defenseless (and defrauded?) shareholders?

If any criminal wrongdoing is involved and proven, it would be called "justice"

I have privately held that once the convertibles were gone, the stock price would turn around and climb. Guess those who held the converted shares didn't want to wait around, and were happy to get 8 bucks.
