Suzanne, the 10Q would report the number of shares as of the closing of that quarter, but it is published a good month or two later, so no lying per se occurs. I have compiled in an earlier post today the count shares since Dec 31, 1996. The interesting thing is that in the last few weeks, there was a very large increase in share count, from 80 MM shares when the last share registration was filed (SB-2 of 5/7/99) to 95 MM late last week, when someone called the transfer agent for a count and the reply was 95 MM shares. I think people should be entitled to know where these shares came from.

There is really no difference, as far as I know between "issued" and "outstanding" (unless some issued shares were later cancelled or reacquired by the company, sometimes the acquisition results in share cancelation, but most of the times these are included in the treasury), some of the outstanding shares might be restricted from trading until a form 144 is registered, but that is about it, these restricted share are still issued. Thus, the 5 MM shares grant to Gordon in December for a fantastic Job done in 1998 are included in the issued count despite there being restricted, as well as the 6.667 MM for the one million dollar debt conversion.

I hope that clarifies the count.

With 95 MM shares outstanding, we are rapidly approaching the 100 MM authorized shares (only 5 MM more shares can be issued), or is it 114 MM authorized as the last KSB (page F3) cited?
