Additional note on insider share holdings. In addition to the shares which they hold personally, Francis and Anthony Shen hold many more shares indirectly via their holdings in Shen Capital Corp, a private company owned as to 51% by Francis Shen, 25% by Anthony Shen and 24% by Felix M.C. Shen. Shen Capital owned 3,116,873 shares as of latest company information circular dated April 7, 1999. The directors as a group controlled 3,800,143 shares representing 40.9% of outstanding shares.
